1. About these terms
These Terms and Conditions ('Terms') govern your access to and purchase of products from the Northform Health website at [northformhealth.com.au] ('the Site'). By using the Site or purchasing products, you agree to be bound by these Terms. Northform Health is operated by [your legal entity name], ABN [your ABN], based in Queensland, Australia.
2. Definitions
'We', 'us', 'our' means Northform Health. 'You', 'your' means the person or organisation purchasing or using our products. 'Products' means the digital templates, packs, bundles and other goods available for purchase from the Site.
3. Nature of the products
Our products are digital templates intended to assist Australian disability service providers with documentation and operational tasks. They are sold as starting points for you to adapt to your own service. The products are NOT legal, regulatory, clinical, financial or other professional advice. The products are NOT endorsed by, affiliated with, or approved by the National Disability Insurance Scheme (NDIS), the NDIS Quality and Safeguards Commission, or any government body. Use of our products does not guarantee compliance with the NDIS Act, the NDIS Practice Standards, the NDIS Code of Conduct, or any other applicable law, regulation, audit standard or clinical guideline.
4. Licence to use
When you purchase a product, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the product for your own purposes (or your own organisation's purposes if purchased by an organisation). You may adapt, customise and use the product internally within your team. You may NOT: resell the product; redistribute the product outside your organisation; share the product with third parties for their independent use; upload the product to public repositories or file-sharing services; or remove copyright and attribution notices.
5. Intellectual property
All intellectual property in the products and the Site, including copyright, trademarks and trade secrets, remains owned by Northform Health. The licence in clause 4 does not transfer any intellectual property to you.
6. Pricing and payment
All prices are in Australian dollars and inclusive of GST where applicable. Prices may change without notice but the price you pay is the price displayed at the time of purchase. Payment is processed at the time of purchase via our payment provider. We do not store your payment card details.
7. Delivery
Products are delivered electronically immediately after successful payment, by way of a download link sent to the email address you provided at checkout, and (where applicable) by access through your customer account on the Site. We do not ship physical goods.
8. Refunds
Digital products are non-refundable once accessed or downloaded. This policy is disclosed before and at checkout and you acknowledge it as a condition of purchase. If a product file is corrupted, missing, or fails to download, you may request a replacement or refund within 7 days of purchase by contacting us. Your statutory rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) are not affected by this policy.
9. Disclaimers
To the maximum extent permitted by law, we make no representations or warranties about the accuracy, completeness, suitability or fitness for purpose of the products. Any implied warranties (other than those that cannot be excluded under the Australian Consumer Law) are excluded. You acknowledge that you use the products at your own discretion and are responsible for obtaining your own independent legal, clinical, financial and regulatory advice before adopting any policy, procedure or document.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any loss, damage, claim, cost or expense (including indirect, consequential, special, punitive or exemplary damages, loss of profits, loss of revenue, loss of data, or loss of goodwill) arising from or in connection with your use of, or inability to use, the Site or the products. Where liability cannot be excluded, our maximum aggregate liability is limited to the amount paid by you for the relevant product.
11. Privacy
Our handling of your personal information is governed by our Privacy Policy, available at [northformhealth.com.au/pages/privacy]. By using the Site you consent to that Privacy Policy.
12. Use of the Site
You agree to use the Site lawfully and in good faith. You will not: attempt to gain unauthorised access to any part of the Site; use the Site for any unlawful or fraudulent purpose; introduce viruses or harmful code; or impersonate any person or entity.
13. Termination
We may suspend or terminate your access to the Site or your customer account at any time for serious breach of these Terms, fraud, or where required by law. Termination does not affect rights or obligations that accrued before termination.
14. Governing law
These Terms are governed by the law in force in Queensland, Australia. Each party submits to the non-exclusive jurisdiction of the courts of Queensland.
15. Dispute resolution
Before commencing court proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, the parties may agree to refer the dispute to mediation through a Community Justice Centre or similar service before pursuing legal remedies.
16. Changes to these Terms
We may update these Terms from time to time. The current version is always available on the Site, dated with the 'Last updated' field above. Continued use of the Site after a change indicates your acceptance of the updated Terms.
